Terms of Service – Locory By creating an account or using Locory (“the Service”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service. 1. Use of the Service You agree to use the Service responsibly and in compliance with all applicable laws. You may not use the Service for unlawful, harmful, or abusive purposes. 2. Accounts You are responsible for maintaining the security of your account and credentials. You must be at least 13 years old to use the Service. 3. User Content (POIs, Data, and Submissions) The Service allows you to submit content including locations (POIs), descriptions, images, comments, reports, messages, and other data (“User Content”). You are solely responsible for the content you submit and must ensure you have the necessary rights to share it. Ownership and License You retain ownership of your User Content, to the extent you have rights in that content. By submitting content to Locory, you grant Locory a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to: Host, store, copy, reproduce, modify, adapt Publish, translate, distribute, publicly display Create derivative works Share, license, monetize, transfer, and sell This includes use in connection with: Operating and improving the Service Promoting and distributing the Service Creating datasets, feeds, APIs, and commercial products Syndication, partnerships, and integrations Business transfers (e.g., merger, acquisition, asset sale) This license allows Locory to make User Content available to partners, service providers, affiliates, customers, acquirers, and other third parties, subject to applicable law. 4. Public Content Content you submit may be publicly visible and accessible to other users and third parties. You understand that others may view, share, or use your content. 5. User Communications (Comments and Messages) The Service may allow comments, messages, reports, and other communications (“User Communications”). You are solely responsible for your User Communications and agree not to submit content that is unlawful, abusive, harassing, defamatory, misleading, infringing, or otherwise harmful. You grant Locory the same license rights described above for all User Communications. Comments and certain communications may be public. Private messages are not guaranteed to be confidential. Locory reserves the right, but not the obligation, to monitor, remove, restrict, or moderate User Communications at its sole discretion. Locory does not endorse and is not responsible for User Communications posted by users. 6. Acceptable Use You agree not to: Submit false, misleading, or deceptive location data Upload content that infringes intellectual property rights Harass, abuse, or harm other users Use the Service for spam or unsolicited communications Access or use the Service through automated means (bots, scraping) without permission Interfere with or disrupt the Service 7. Data Retention We may retain and continue to use User Content even if you delete your account, to the extent permitted by law. 8. Third-Party Services The Service may rely on third-party services (including mapping providers, hosting providers, and analytics services). Locory is not responsible for third-party services or their content. 9. Feedback Any feedback, suggestions, or ideas you provide may be used by Locory without restriction or compensation. 10. Service Availability The Service may change over time and may be updated, modified, or discontinued at any time without notice. We do not guarantee uninterrupted or error-free operation. 11. Disclaimer of Warranties The Service is provided “as is” and “as available” without warranties of any kind. We do not guarantee: Accuracy, completeness, or reliability of User Content Accuracy of location data or geographic information Availability or uptime of the Service That the Service will be error-free or secure Location data and user-submitted information may be inaccurate or outdated. Use at your own risk. 12. Limitation of Liability To the fullest extent permitted by law, Locory shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or use arising from your use of the Service. 13. Indemnification You agree to indemnify and hold harmless Locory and its affiliates from any claims, damages, liabilities, and expenses arising from: Your use of the Service Your User Content Your violation of these Terms 14. Termination We may suspend or terminate your account at any time, with or without notice, if you violate these Terms or for any other reason. 15. Copyright / Takedown If you believe content on the Service infringes your copyright, you may contact us to request removal. We may remove content at our discretion. 16. Modifications to Terms We may update these Terms from time to time. Your continued use of the Service after changes indicates acceptance of the updated Terms. 17. Privacy Your use of the Service is also governed by our Privacy Policy. 18. Email Communications and Mailing List By creating an account or providing your email address, you agree that Locory may send you service-related communications, including account notifications, updates, security alerts, and administrative messages. You may also receive optional communications such as newsletters, product updates, or promotional content if you choose to subscribe to our mailing list or if permitted by applicable law. You can opt out of non-essential or promotional emails at any time by using the unsubscribe link included in such emails or by contacting us. Even if you opt out of promotional emails, we may still send you important service-related communications. We may use third-party email service providers to send communications on our behalf. We will handle your email address and related personal data in accordance with our Privacy Policy. 19. Mapping Data and OpenStreetMap The Service may use map data provided by OpenStreetMap and its contributors. Such data is made available under the Open Database License (ODbL). © OpenStreetMap contributors. OpenStreetMap data is provided “as is” and may be incomplete, inaccurate, or outdated. Locory does not guarantee the accuracy or completeness of map data. Your use of OpenStreetMap data is subject to the terms of the Open Database License, available at: https://opendatacommons.org/licenses/odbl/ Locory may modify, augment, or combine OpenStreetMap data with other data sources, including user-submitted content. 20. Governing Law These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. 21. Assignment Locory may assign or transfer these Terms and its rights in connection with a merger, sale, or transfer of assets. Your continued use of the service indicates acceptance of these Terms and Conditions.
